License Agreement

Hive Studios International Pty Ltd “Licensor”
"Film" means the specific registered Feature Film, Short film, Television program or online video.

“Material” means the material provided by the Licensor to the Licensee and also any additional material as agreed between the Licensor and the Licensee after execution of this Agreement.

"Rights" means, a non-exclusive license for the Term to reproduce the Material in the Film and in promotional material and ancillary and spin-off products and projects produced in connection with the Film, and to distribute, exhibit and communicate the Material to the public by way of the Film and by way of promotional material and ancillary and spin-off products and projects produced in connection with the Film, by all means and in all media whether now known or later devised including books.

"Term" means in perpetuity. "Territory" means the world.


The Material is provided "AS IS", without warranty or any kind, express or implied, including but not limited to the warranties of merchantability, fitness of a particular purpose and non infringement. In no event shall the authors or copyright holders be liable for any claim, damages or other liability, whether in an action of contract, tort or otherwise, arising from, out of or in connection with "The Material" or the use or dealings in "The Material"

In consideration of the Licensee paying the license fee, the Licensor grants to the Licensee a non exclusive license to use and exploit the Rights in the Territory during the Term on the terms and conditions of this Agreement.

The Licensor represents and warrants to the Licensee that It is the owner of or controls the Rights in the Material and has the right to grant a license to the Rights to the Licensee in accordance with this Agreement.

The Licensee shall have the right to make use of the Material in such manner as the Licensee in its sole and absolute discretion shall think fit including by making changes, translations into any language, alterations, adaptations, re-arrangements, substitutions, deletions or additions to the Material.

The Licensee shall not be entitled to sub-license any of the Material as raw footage.

In the event of a breach of this Agreement by the Licensee, the Licensor shall be entitled to rescind this Agreement and any of the rights granted. The Licensor shall be entitled to restrain the production, distribution, exploitation, advertising, promo- tion or publicity of the Film or any rights in or in connection with the Film.
